Welcome to DIA live.studio, a division of Digital Impact &. These Terms of Service ("Terms") govern your use of our website and services. By accessing our website or engaging our services, you agree to these Terms.

1. Services

DIA live.studio provides video and audio production services, including but not limited to podcast production, commercial production, corporate communications, live streaming, and social media content creation. All services are subject to availability and the terms of individual service agreements.

2. Booking and Payment

• Deposits: A deposit may be required to secure your booking. Deposit amounts and terms will be specified in your service agreement or invoice.
• Payment Terms: Unless otherwise agreed in writing, payment is due upon receipt of invoice. For ongoing services, payment terms will be specified in your service agreement.
• Late Payment: Late payments may be subject to a service fee of 1.5% per month or the maximum allowed by law.

3. Cancellation and Rescheduling

• Client Cancellation: Cancellations made less than 48 hours before a scheduled session may forfeit any deposit paid. Cancellations made less than 24 hours before a scheduled session may be charged the full session fee.
• Rescheduling: We will make reasonable efforts to accommodate rescheduling requests, subject to availability.
• Our Cancellation: If we must cancel a session due to circumstances beyond our control, we will reschedule at no additional cost or provide a full refund of any deposits paid.

4. Intellectual Property

• Client Content: You retain ownership of any content, materials, or intellectual property you provide to us for use in production.
• Final Deliverables: Upon full payment, you will own the rights to the final deliverables as specified in your service agreement.
• Portfolio Rights: Unless otherwise agreed in writing, we reserve the right to use completed work in our portfolio, website, and marketing materials.
• Raw Footage: Raw footage and project files remain our property unless specifically included in your service agreement.

5. Client Responsibilities

You agree to:

• Provide accurate information when booking services or submitting inquiries
• Arrive on time for scheduled sessions
• Provide all necessary materials, approvals, and information in a timely manner
• Ensure you have the rights to use any content, music, or materials you provide
• Review and approve deliverables within the agreed timeframe

6. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages.
• We are not liable for delays or failures caused by circumstances beyond our reasonable control.

7. Indemnification

You agree to indemnify and hold harmless DIA live.studio, its owners, employees, and contractors from any claims, damages, or expenses arising from your use of our services, your content, or your violation of these Terms.

8. Confidentiality

We will treat all client information and materials as confidential and will not disclose them to third parties without your consent, except as required by law or as necessary to provide our services.

9. Website Use

When using our website, you agree not to:

• Use the website for any unlawful purpose
• Attempt to gain unauthorized access to any part of the website
• Interfere with the proper functioning of the website
• Submit false or misleading information

10. Disclaimer

Our website and services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee specific results from our services.

11. Governing Law

These Terms are governed by the laws of the State of California. Any disputes shall be resolved in the courts of San Diego County, California.

12. Changes to Terms

We may update these Terms from time to time. Continued use of our website or services after changes constitutes acceptance of the updated Terms.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
